This End User License Agreement ("Agreement") is a legal agreement between you ("User") and Baseline Labs LLC ("Company," "we," "us," or "our") governing your use of the Baseline mobile application ("App").
This Agreement is in addition to Apple's standard Licensed Application End User License Agreement ("Apple EULA"). Where Apple requires its EULA to apply, it controls. In all other respects, this Agreement governs your use of the App.
By downloading, installing, or using the App, you agree to this Agreement.
1. License and Intellectual Property
Subject to this Agreement and the Apple EULA, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the App for your personal, non-commercial use strictly in accordance with these Terms.
All rights not expressly granted are reserved by the Company.
The App itself, and all the trademarks, copyright, database rights, and other intellectual property rights related to it, belong to the Company. You are not allowed to copy or modify the App, any part of the App, or our trademarks in any way. You may not attempt to extract the source code of the App, and you also may not translate the App into other languages or make derivative versions.
2. Wellness & Non-Medical Disclaimer
Baseline is a self-guided behavioral and wellness tool intended to support intentional technology use and habit awareness.
The App does not provide medical, mental health, or clinical advice. It does not diagnose, treat, cure, or prevent any disease or mental health condition.
You acknowledge that:
- Any prompts, insights, or recommendations are informational only
- Results may vary and are not guaranteed
- You are solely responsible for your decisions, behavior, and outcomes
If you experience distress, anxiety, or other concerns, discontinue use and seek qualified professional support.
3. User Responsibility & Assumption of Risk
You acknowledge and agree that:
- Behavior change may involve discomfort, frustration, or inconvenience
- The App may limit or delay access to selected apps or content based on your settings
- You remain fully responsible for how you respond to App prompts or restrictions
Your use of the App is voluntary, and you assume all risks arising from your use.
4. Acceptable Use
You agree not to:
- Reverse engineer, decompile, modify, or attempt to bypass App functionality
- Circumvent Screen Time or system restrictions using automation or exploits
- Use the App in unsafe situations (including while driving or operating machinery)
- Use the App for unlawful or abusive purposes
We may suspend or terminate access for misuse or abuse.
5. Subscriptions & Paid Features
Certain features require a paid subscription. Payments, renewals, cancellations, and refunds are handled by Apple and governed by Apple's payment terms.
You acknowledge that:
- Subscriptions automatically renew unless canceled through Apple
- Features may change, evolve, or be discontinued
- We do not guarantee uninterrupted availability of any feature
The Company does not issue refunds; refund requests must be made through Apple.
6. Data & Privacy
Your use of the App is subject to our Privacy Policy, which explains how data is handled.
You acknowledge that:
- You retain ownership of your personal data
- The Company does not guarantee the accuracy or interpretation of usage data or insights
- You are responsible for device backups (e.g., iCloud)
7. Intellectual Property
The App and all related content, trademarks, designs, and intellectual property are owned by Baseline Labs, LLC and protected by applicable law.
You may not copy, distribute, sell, sublicense, or create derivative works without prior written permission.
8. Disclaimer of Warranties
The App is provided "AS IS" and "AS AVAILABLE."
To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of accuracy, fitness for a particular purpose, non-infringement, and availability.
9. Limitation of Liability
To the maximum extent permitted by law:
- We are not liable for indirect, incidental, special, consequential, or punitive damages
- Our total liability shall not exceed the amount you paid for the App in the twelve (12) months preceding the claim
Some jurisdictions do not allow certain limitations; these limits apply to the extent permitted.
10. Indemnification
You agree to indemnify and hold harmless Baseline Labs LLC from any claims arising out of:
- Your misuse of the App
- Your violation of this Agreement
- Your violation of applicable law
11. Dispute Resolution & Governing Law
This Agreement is governed by the laws of the State of Michigan, without regard to conflict-of-laws principles.
Any dispute arising out of or relating to this Agreement shall be resolved through binding arbitration on an individual basis, except where prohibited by law. Class actions are waived to the extent permitted.
12. Third-Party Acknowledgment
You acknowledge that Apple is not a party to this Agreement and has no responsibility for the App except as required under the Apple EULA.
13. Termination
This license is effective until terminated. The Company may terminate use of the App at any time without giving notice of termination to you. Upon termination, (a) the rights and licenses granted to you in these terms will end; and (b) you must stop using the Application, and (if needed) delete it from your device.
14. Changes to These Terms and Conditions
We may update our Terms and Conditions from time to time. Thus, you are advised to review this page periodically for any changes. We will notify you of any changes by posting the new Terms and Conditions on this page.
